HATS OFF COOLING AND HEATING LLC

Effective Date: 2/15/2026

These Terms govern all services, estimates, maintenance plans, and agreements entered into with Hats Off Cooling and Heating LLC.

1. Estimates & Scope of Work

Estimates are valid for 30 days unless otherwise stated.
Pricing may change if concealed or unforeseen conditions are discovered.
Work begins only after customer approval.
Additional work requires written authorization.

2. Payment Terms

Payment due upon completion unless otherwise agreed.
Late payments may accrue interest up to the maximum allowed under Florida law.
Customer responsible for collection costs and attorney’s fees if payment enforcement is required.
Returned payments subject to fees allowed by Florida Statutes.

3. Financing Terms

If financing is offered:

Financing approval is subject to third-party lender review.
Customer agrees to lender terms and conditions.
Company is not responsible for lender decisions, interest rates, or loan servicing.
Failure of financing approval does not cancel payment obligation unless agreed in writing.

4. Florida Mechanics Lien Disclosure

In accordance with Florida law:

NOTICE: Under Florida law, any contractor, subcontractor, supplier, or laborer who provides services or materials to improve your property and who is not paid in full may file a Claim of Lien against your property.

By entering this agreement, Customer acknowledges understanding that the Company reserves the right to file a mechanics lien if payment is not received in full.

5. Permits & Code Compliance

Where required, permits will be obtained per Florida Building Code. Customer agrees to provide access for inspections.

6. Warranties

Manufacturer warranties apply to equipment.
Labor warranty: [Insert Length – e.g., 1 Year].
Warranty void if equipment is misused, altered, or not maintained.
Maintenance may be required to maintain warranty validity.

7. HVAC Maintenance Agreement Terms

If Customer enrolls in a Maintenance Plan:

A. Term

Agreement is annual and automatically renews unless cancelled in writing.

B. Services Included

May include:

Bi-annual system inspections
Filter checks
Coil cleaning (if accessible)
Electrical inspection
Refrigerant check
Drain line clearing

Services limited to standard residential systems unless otherwise specified.

C. Priority Service

Maintenance members receive scheduling priority and potential discounts.

D. Exclusions

Plan does not cover:

Major component replacements
Refrigerant leaks
Ductwork modifications
Electrical upgrades

E. Cancellation

Customer may cancel with written notice. Refunds prorated based on services rendered.

8. Access & Safety

Customer must provide safe, unobstructed access. Company may refuse service in unsafe conditions.

9. Limitation of Liability

Company is not liable for:

Pre-existing defects
Mold or environmental hazards
Structural failures
Water damage from existing drainage issues
Delays beyond reasonable control

Total liability limited to amount paid for services rendered.

10. Force Majeure

Company shall not be liable for delays or failure to perform due to events beyond reasonable control including but not limited to:

Hurricanes
Severe weather
Supply chain shortages
Acts of God
Government actions
Labor shortages

Performance time shall be extended accordingly.

11. Arbitration Clause

Any dispute arising out of or relating to services provided shall be resolved by binding arbitration in the State of Florida, pursuant to the rules of the American Arbitration Association.

Customer waives the right to:

Jury trial
Class action participation

Arbitration shall occur in Florida and judgment may be entered in any court of competent jurisdiction.

12. Dispute Resolution & Venue

If arbitration is deemed unenforceable, disputes shall be resolved in the courts located in Florida.

13. Photo Release Clause

Customer grants Company permission to photograph installed equipment and work areas for documentation and marketing purposes. Personally identifying details will not intentionally be disclosed without consent.

14. Governing Law

This agreement is governed by the laws of the State of Florida.
